Zigma Paints is committed to conducting its manufacturing and commercial activities responsibly and in accordance with the laws and regulatory requirements of the Republic of Ghana. We are committed to product quality, customer safety, ethical business practices, employee welfare, environmental responsibility, data protection and zero tolerance for bribery and fraud.
This Code is a summary of Zigma Paints' internal standards and does not constitute legal advice or a complete statement of Ghanaian law. Applicable laws, regulations, standards, permits and regulatory directives remain binding and take precedence where applicable.
This Code establishes the ethical, legal, quality, safety and compliance standards that govern Zigma Paints. It is intended to support responsible manufacture, marketing, sale and distribution of paint products in Ghana, protect customers, employees and the environment, and promote honest and accountable business practices.
This Code is a company policy and does not replace any applicable Ghanaian law, regulation, licence, permit, standard, employment contract or regulatory directive. Where a legal requirement is stricter than this Code, the law prevails.
This Code applies to all directors, owners, managers, employees and workers of Zigma Paints and, where applicable, to agents, distributors, sales representatives, consultants, contractors, suppliers and other persons acting for or on behalf of the Company.
Zigma Paints shall conduct its business in accordance with the Constitution and applicable laws of the Republic of Ghana, including, as applicable, the Companies Act, 2019 (Act 992), the Labour Act, 2003 (Act 651), the Factories, Offices and Shops Act, 1970 (Act 328), the Data Protection Act, 2012 (Act 843), the Environmental Protection Act, 2025 (Act 1124), the applicable environmental assessment requirements, the Ghana Standards Authority Act, 2022 (Act 1078), applicable tax legislation and regulations, and laws concerning bribery, corruption, fraud and whistleblowing.
Management shall monitor material legal and regulatory changes and update this Code or related procedures where necessary.
Management is responsible for establishing reasonable systems, procedures and controls to support compliance. Managers shall lead by example, communicate this Code, provide appropriate training and act promptly when concerns are raised. Employees are responsible for complying with this Code, following lawful instructions and reporting suspected misconduct.
A conflict of interest occurs when a personal, family or financial interest could improperly influence a person's judgment or duties for Zigma Paints. Actual, potential or perceived conflicts must be disclosed promptly to management.
Zigma Paints has zero tolerance for bribery, kickbacks, facilitation payments, extortion, fraud or any other improper payment. No employee, agent or intermediary may offer, promise, authorise, request, receive or provide money or anything of value to improperly influence a person or obtain an improper business, regulatory or commercial advantage.
Particular care is required when dealing with public officers, public institutions, regulators, licensing authorities and public procurement processes. The Company's policy is to comply with applicable Ghanaian anti-corruption laws, including relevant provisions of the Criminal Offences Act, 1960 (Act 29), as amended, and the Office of the Special Prosecutor Act, 2017 (Act 959).
Facilitation payments are prohibited by Company policy. Any demand for an improper payment must be refused where safe to do so and reported immediately.
Gifts and hospitality must be lawful, reasonable, transparent, infrequent and genuinely connected to a legitimate business purpose. Cash or cash equivalents must not be offered or accepted as a business courtesy.
No gift, hospitality, travel, discount, sponsorship or other benefit may be offered or accepted if it is intended, or could reasonably appear, to influence a business or official decision improperly. Benefits involving public officials require particular caution and prior management approval.
Zigma Paints shall deal fairly with customers, suppliers, distributors, competitors and employees. The Company shall not knowingly misrepresent product quality, performance, origin, pricing or availability. Employees must not obtain competitors' confidential information through improper means.
Product quality and customer safety are fundamental requirements. Zigma Paints shall maintain appropriate specifications, formulation controls, batch identification, testing, release procedures, complaint handling and traceability appropriate to its products.
Zigma Paints shall pay particular attention to applicable lead-content and other chemical and product requirements. The Ghana Standards Authority currently lists paint standards including GS 181 (emulsion paint), GS 180 (oil paint), GS 276 (powdered cement paint), GS 333 (textured wall coatings), GS 796 (putty filler), GS 801 (varnishes), GS 1242 (primer) and relevant testing standards. The exact standard applicable to each Zigma product shall be confirmed by the Company's quality function.
Zigma Paints shall provide and maintain, so far as reasonably practicable, a safe and healthy workplace. This includes safe plant and systems of work, safe handling and storage of substances, appropriate training, PPE, fire protection, sanitation, drinking water and controls for chemical, dust, vapour, noise and other hazards.
The Company shall comply with applicable requirements of the Labour Act, 2003 (Act 651) and the Factories, Offices and Shops Act, 1970 (Act 328), including applicable factory registration, inspection and accident-reporting requirements.
Workers shall report hazards, incidents, unsafe equipment and near misses. A worker who reasonably believes that a work situation presents an imminent and serious danger shall report it and follow the Company's emergency procedures without fear of retaliation.
Zigma Paints shall manage its operations to prevent or minimise pollution and adverse environmental impacts. This includes responsible management of raw materials, waste, wastewater, emissions, spills, hazardous substances, packaging and energy use.
Because paint and varnish manufacturing is identified within the environmental assessment framework as a chemical manufacturing activity requiring registration and an environmental permit, the Company shall obtain and maintain all environmental permits, registrations, approvals and management and reporting obligations applicable to its facility and activities.
Zigma Paints shall maintain accurate financial and tax records and comply with applicable Ghana Revenue Authority requirements, including applicable income tax, VAT, levies, withholding taxes, customs duties and other statutory obligations. VAT treatment shall follow the prevailing Value Added Tax Act and GRA guidance in force at the relevant time.
Where electronic invoicing or other tax-invoicing requirements apply, the Company shall issue compliant invoices and retain supporting records.
Suppliers shall be selected on legitimate business criteria such as quality, capability, price, reliability, safety, compliance and service. Procurement decisions must not be influenced by undisclosed personal interests or improper benefits.
For higher-risk suppliers, agents and distributors, the Company should conduct proportionate due diligence, including verification of ownership, business identity, qualifications, reputation, capability and relevant compliance risks.
Third parties acting on behalf of Zigma Paints must comply with applicable law and relevant Company policies. Contracts should contain appropriate compliance, confidentiality, quality, safety and audit or cooperation provisions based on the risks of the relationship.
The Company shall not use a third party as a means of doing something that Zigma Paints or its employees are prohibited from doing directly.
Zigma Paints shall handle personal data lawfully, fairly and securely in accordance with the Data Protection Act, 2012 (Act 843) and applicable requirements of the Data Protection Commission.
Employees shall protect confidential information including formulas, recipes, technical specifications, supplier information, pricing, customer lists, business plans, financial information, manufacturing processes and other trade secrets. Confidentiality obligations continue after employment ends, subject to applicable law.
Company trademarks, product names, designs, documents, software and other intellectual property shall be used only for authorised purposes.
Employees shall use Company systems responsibly and protect passwords, devices, business email, customer information and other electronic assets. Unauthorised access, malicious software, deliberate data destruction, fraudulent electronic activity and misuse of Company systems are prohibited.
Zigma Paints is committed to a respectful workplace. Employment decisions shall be based on legitimate work-related criteria and applicable Ghanaian employment law. Harassment, bullying, intimidation, unlawful discrimination, forced labour and retaliation are prohibited.
Sexual harassment and other serious workplace misconduct are prohibited. Complaints shall be handled promptly, fairly and as confidentially as reasonably practicable. No person shall suffer retaliation for making a good-faith complaint.
Employees and other stakeholders are encouraged to report suspected fraud, bribery, corruption, theft, unsafe practices, product-quality concerns, environmental breaches, harassment, financial misconduct or other serious violations.
Reports may be made to a supervisor, management, designated compliance contact or other reporting channel established by Zigma Paints. The Company prohibits retaliation against a person who makes a good-faith report or assists with an authorised investigation, subject to applicable law.
Nothing in this Code prevents a person from making a disclosure to a competent public authority where permitted or required by Ghanaian law. The Whistleblower Act, 2006 (Act 720) provides a statutory framework for protected disclosures and protection against victimisation in qualifying circumstances.
Zigma Paints may investigate credible allegations of misconduct fairly and proportionately. Employees are expected to cooperate with authorised investigations, subject to their legal rights.
Violations may result in disciplinary action, up to and including termination of employment or contract, and may be reported to a regulator or law-enforcement authority where required or appropriate.
Zigma Paints shall not make or authorise political contributions, sponsorships or charitable donations for the purpose of improperly influencing a decision or obtaining business or regulatory advantage. Any contribution made by or on behalf of the Company must be lawful, properly authorised, documented and consistent with Company policy.
Customer complaints and reports of product defects or safety concerns shall be recorded, assessed and investigated. Where a product may present a significant quality or safety risk, management shall promptly consider containment, suspension of sales, customer notification, withdrawal or recall, regulatory notification and corrective action as appropriate.
The Company shall provide proportionate training on this Code and on material compliance risks relevant to employees' duties, including anti-bribery, product quality, chemical safety, workplace safety, data protection and incident reporting. Higher-risk functions such as procurement, sales, finance, production and quality control should receive role-specific training.
Records supporting compliance with this Code, including quality records, purchase and sales records, tax records, incident reports, training records, supplier due diligence and complaint or recall records, shall be retained for the period required by applicable law or Company policy, whichever is appropriate.
Management shall periodically review the effectiveness of this Code and related procedures, taking into account changes in Ghanaian law, regulatory guidance, product standards, incidents, complaints, audits and business risks.
This Code applies to directors, management, employees, temporary workers, agents, distributors, contractors and relevant business partners. It is reviewed at least annually and whenever material legal or operational changes occur.
